Referral Program Terms and Conditions

Effective Date: April 22, 2025
Provider: Syncfusion, Inc., 2501 Aerial Center Parkway, Suite 111, Morrisville, NC 27560

By participating in the BoldDesk Referral Program (the “Program”), you (“You,” “Your,” or “Participant”) agree to the following legally binding Terms and Conditions. IF YOU DO NOT AGREE WITH THE BELOW TERMS, DO NOT PARTICIPATE IN THE PROGRAM OR USE ANY ASSOCIATED PRODUCTS OR SERVICES.

1. Definitions

  • Referral: A “Referral” is a new customer introduced to BoldDesk through a registered participant’s referral link or invitation email.

  • Successful Referral: Occurs only when the referred individual:

    • Registers via the provided referral mechanism.

    • Converts to a paid subscription (free trials excluded).

    • Remains an active, paying subscriber for at least 30 consecutive days.

  • Customer: A legal person or entity with a valid, paid BoldDesk subscription under the Active, Syncfusion, or Startup offer.

  • Syncfusion: Syncfusion, Inc., a Delaware corporation and parent company of BoldDesk.

  • Commission: Referrers will receive a commission equal to 30% of the first-year payment from each Successful Referral, issued as account credit. This commission:

    • Will be applied exclusively to the referrer’s BoldDesk account balance.

    • May only be used toward BoldDesk subscription payments.

    • Cannot be withdrawn, transferred, or redeemed for cash.

    • Will be credited directly to the referrer’s BoldDesk account.

2. Eligibility

  • Participation is restricted to:

    • Customers with a valid, paid subscription.

    • Individuals or entities legally authorized to do business with U.S. companies.

    • Entities not located in embargoed or restricted jurisdictions as defined by U.S. law.

  • All licenses and usage rights are subject to the BoldDesk End User License Agreement (EULA).

  • You will receive no ownership or intellectual property rights by participating in this Program.

3. Referral Methods

Referrals must be made via:

  • A BoldDesk-issued referral link, or

  • A BoldDesk-issued invitation email.

Self-referrals or referrals of existing customers are prohibited.

4. Commission Structure and Payment

  • Commissions:

    • Are earned only from Successful Referrals.

    • Do not apply to trial, free, or promotional accounts.

    • Are credited after 30 days of confirmed paid subscription.

    • Are redeemable only as described in Section 1.

    • Are non-transferable and non-refundable.

5. Tax Responsibilities

  • Commissions and rewards are exclusive of all applicable taxes.

  • You are solely responsible for reporting and paying:

    • Sales, VAT, withholding, or income taxes.

    • Syncfusion will not gross-up or adjust payouts for taxes withheld unless explicitly agreed.

  • Notify Syncfusion in writing if withholding is required by law.

6. Non-Solicitation Policy

You agree to:

  • Not spam or mass-message individuals.

  • Not cold-call, misrepresent, or deceive.

  • Not target Syncfusion’s existing customers or those of competitors.

  • Not solicit employees, contractors, or partners of Syncfusion.

  • Comply with all platform rules, laws, and privacy regulations.

7. Privacy, Age Limitations & Data Compliance

  • You must comply with applicable privacy laws, including GDPR and CCPA.

  • You must not provide or process data of anyone under 18 years of age.

  • By participating, you affirm:

    • You have authority to transmit data legally.

    • You consent to communications from Syncfusion.

    • You agree to Syncfusion’s Privacy Policy.

8. Behavior & Ethics Clause

Bullying or Harassing Behavior is strictly prohibited. Such behavior includes:

  • Any written, verbal, or physical communication that is hostile, insulting, cruel, malicious, or intimidating.

  • Actions motivated by perceived characteristics such as race, gender, religion, disability, nationality, etc.

This behavior will be deemed a material breach and result in:

  • Immediate forfeiture of commissions.

  • Program removal and possible account termination.

9. Intellectual Property

  • All rights, titles, and interests in BoldDesk and Syncfusion IP remain exclusively with Syncfusion.

  • Participation in the Program does not grant any license or IP rights, whether by implication, estoppel, or otherwise.

10. Warranties and Disclaimer

EXCEPT FOR EXPRESS WARRANTIES IN THE EULA:

  • SYNCFUSION MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION:

    • WARRANTY OF MERCHANTABILITY,

    • FITNESS FOR A PARTICULAR PURPOSE, OR

    • ANY WARRANTY ARISING FROM USAGE, TRADE, OR COURSE OF PERFORMANCE.

  • THE PROGRAM IS PROVIDED “AS IS”.

11. Export Restrictions

You may not participate if:

  • You are in or affiliated with embargoed nations or entities listed by the U.S. Department of Commerce, Treasury, or State.

  • You are prohibited from receiving U.S. products or services.

12. Marketing and Publicity

  • Syncfusion may list your company name and logo as a BoldDesk user or referrer.

  • No specific claims will be made about the relationship without your permission.

  • You may opt out with 60 days’ written notice.

13. Communications

  • Syncfusion may contact you regarding the Program or related services.

  • These communications do not violate email laws, including the CAN-SPAM Act.

  • You may opt out of marketing emails by contacting sales@syncfusion.com.

14. Assignment and Modification

  • You may not assign your participation rights.

  • Syncfusion may update these terms at any time. Notice will be given through email or your BoldDesk account.

  • No waiver or modification is valid unless in writing and signed by authorized representatives of both parties.

15. Governing Law & Dispute Resolution

  • This Agreement is governed by the laws of North Carolina, USA.

  • The United Nations Convention on Contracts for the International Sale of Goods and the Uniform Commercial Code shall not apply.

  • Any disputes will be:

    • Resolved by arbitration through the American Arbitration Association.

    • Conducted in Raleigh, North Carolina.

    • Decided by three arbitrators (one appointed by each party, third selected by mutual agreement).

    • Judged according to North Carolina law.

    • Binding and enforceable in any court with jurisdiction.

16. Severability

If any provision is found unenforceable, the rest of the Agreement remains in effect. Invalid clauses will be interpreted to best match their original intent under the law.

17. Entire Agreement

This document, combined with the BoldDesk EULA, Privacy Policy, and any formal addenda, constitutes the entire agreement between you and Syncfusion regarding the Referral Program.
